Stasis End User License Agreement This End User License Agreement (the "Agreement") is between Bootleg Cheeseburger, LLC ("we", "us") and you, the person who installs or uses Stasis (the "Software"). By clicking "Agree", or by installing or using the Software, you accept this Agreement. If you do not agree, click "Disagree" and do not install or use the Software. This Agreement applies together with our Terms and Conditions (https://bootlegcheeseburger.com/terms.html), our Privacy Notice (https://bootlegcheeseburger.com/privacy.html) and our Refund Policy (https://bootlegcheeseburger.com/refunds.html). Where this Agreement and the Terms and Conditions differ about the Software, this Agreement governs. 1. License grant Subject to this Agreement, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for your own personal or business purposes. The Software is licensed, not sold. We and our licensors keep all ownership of the Software and all intellectual property rights in it. A license is for one person. It is not a site, team or per-seat license. You may not share, sell, rent, lend or transfer your serial without our written consent. 2. Free demo Without an activated serial, the Software runs as a free demo, limited to the first 10 seconds of each file you open. You use the demo under this Agreement, but sections 3 to 6 and 11 (serials and computers, activation, updates, free and beta serials, and purchases and refunds) do not apply to it. Buying a serial and activating it on a computer lifts the limit on that computer in place. You do not need to reinstall the Software. 3. Serials and computers Your license comes with a serial. A serial may be active on up to two (2) computers at one time, used only by you. Activating a computer uses one of the serial's seats. You can deactivate a computer from within the Software, which frees its seat for another computer. 4. Activation and license checks The Software checks your serial with our licensing service when you activate a computer and from time to time afterwards, such as when it starts with an internet connection. A check sends your serial, a one-way hash of your computer's hardware identifier (never the identifier itself) and the Software's name and version; activating a computer also sends the computer's name. A check never sends your files or their contents. Our Privacy Notice explains what we keep and why. There is no offline limit. Once a computer is activated, the Software keeps working without an internet connection for as long as you like. Your license status on a computer changes only when the Software reaches our licensing service and receives a verified answer, for example that the serial has been suspended or that the computer's seat has been released. A failed check, or no connection at all, never stops the Software. 5. Updates Your serial includes one year of updates, starting on the day the serial is issued (for a purchase, the day you buy). This is your update period. Every release of the Software published on or before the last day of your update period is covered: you may install and use it under this Agreement permanently. When your update period ends, your license does not end. The Software keeps running, indefinitely, using any covered release. Releases published after your update period ends are not covered, and the Software will not run them under your serial. You do not need to renew to keep using a covered release. If we offer renewals, a renewal extends your update period. A renewal made before your update period ends extends it from its end date; a renewal made after it ends starts from the day you renew. A renewal does not change any release you already have. We are not obliged to publish updates, and a later release may change or remove features. 6. Free and beta serials A serial we issue at no charge, for example to a beta tester, is an ordinary license under this Agreement, on the same terms. Beta and pre-release versions are offered for testing, may be incomplete, may change or stop working, and are provided as is. Section 13 applies to them with particular force. 7. Restrictions You may not: - copy the Software except to install it on a computer (you may install it on any computer, but use beyond the demo needs a serial activated on that computer); - redistribute, sell, sublicense, rent, lease, lend or publish the Software or any part of it; - modify the Software or create derivative works of it; - reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction; - circumvent, disable or tamper with its licensing, activation or update functions, or share serials or license files; - remove or alter any copyright, trademark or license notice; or - use the Software in a way that breaks the law or infringes anyone's rights. These restrictions apply to our own code. They do not restrict any right you hold in a third-party component under that component's own license (see section 10). 8. Your files Your files, and anything you make with the Software, belong to you. We claim no ownership of them. A suspension, or the end of your license, never alters, deletes or locks your own files. You are responsible for keeping backups of your work. 9. Audio and equipment safety The Software may play audio or control other applications and devices. You are responsible for monitoring playback levels, protecting your hearing and your equipment, and checking the state of your sessions. Do not rely on the Software for safety-critical work, or for live or broadcast work where an unintended action could cause harm. 10. Third-party components The Software may include third-party components licensed under their own terms, including open-source licenses. Those terms govern those components and prevail over this Agreement with respect to them. Where a component's license requires it, the Software ships with a notices file that lists the component, its full license text and any offer of its source code. 11. Purchases and refunds Our order process is conducted by our online reseller Paddle.com, the Merchant of Record for all our orders, which handles payment, tax and refunds. Our Refund Policy explains how to get a refund. A refunded or charged-back purchase ends its license: we suspend the serial, and the Software returns to the demo on each computer activated with it the next time it checks the serial online; use beyond the demo stops. 12. Suspension and termination We may suspend or end your license if you materially breach this Agreement, if payment is not received or is refunded or charged back, or if we reasonably suspect fraud or a security risk. A suspension takes effect on each computer the next time the Software checks your serial online. From then until the suspension is lifted, the Software runs as the demo on that computer. You may stop using the Software at any time. When your license ends, the Software returns to the demo on your computers, and you must stop using it beyond the demo. Sections 8 and 13 to 18 survive the end of your license. 13. No warranty TO THE FULLEST EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE THIS DISCLAIMER ON OUR OWN BEHALF AND ON BEHALF OF OUR LICENSORS AND SUPPLIERS. NEITHER WE NOR OUR LICENSORS OR SUPPLIERS WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. 14. Limitation of liability TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR LICENSORS OR SUPPLIERS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR WORK, CORRUPTED SESSIONS OR FILES, HEARING DAMAGE OR DAMAGE TO EQUIPMENT, ARISING FROM THE SOFTWARE OR ITS USE, EVEN IF WE OR THEY WERE ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE, OR US$50 IF YOU PAID NOTHING. Nothing in this Agreement limits or excludes any right you have as a consumer that cannot be limited or excluded by contract under the law where you live. 15. Export control and sanctions The Software is subject to the export control and economic sanctions laws of the United States, including the Export Administration Regulations (EAR) and the sanctions administered by the US Treasury's Office of Foreign Assets Control (OFAC), and may be subject to those of other countries. You will not export, re-export or transfer the Software, directly or indirectly, to any country or region under a US embargo or comprehensive sanctions, or to any person on a US government list of restricted or prohibited parties, and you will not use the Software for any end use those laws prohibit, such as the design, development or production of nuclear, chemical or biological weapons or missiles. You represent that you are not located in, or ordinarily resident in, such a country or region, and that you are not on such a list or owned or controlled by anyone who is. 16. US government end users The Software and its documentation are "commercial computer software" and "commercial computer software documentation", as those terms are used in FAR 12.212 and, where applicable, DFARS 227.7202 and 252.227-7015. Consistent with those regulations, the Software is licensed to US government end users only as a commercial product, and with only the rights that this Agreement grants to every other user. 17. Governing law This Agreement is governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Disputes are handled as our Terms and Conditions set out. If you are a consumer, you keep any right to bring a claim in the courts where you live and the protection of any mandatory law of your country. 18. General You may not assign or transfer your rights under this Agreement without our written consent. This Agreement, together with our Terms and Conditions, Privacy Notice and Refund Policy, is the entire agreement between you and us about the Software. If any part of it is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. 19. Contact Bootleg Cheeseburger, LLC.
